5. Intellectual Property

Any intellectual property rights arising from our services, including but not limited to creative works, designs, and marketing materials, shall remain the property of Marketing Genius Marketing unless otherwise agreed upon in writing. Upon full payment, we grant you a non-exclusive license to use the deliverables for the agreed-upon purposes.

6. Confidentiality

Both parties agree to treat all non-public information disclosed during the course of the project as confidential and not to disclose it to third parties without the other party's prior written consent. This obligation shall survive the termination of this agreement.

7. Termination

Either party may terminate the agreement for cause with immediate effect if the other party materially breaches these Terms and fails to remedy such breach within a specified timeframe. Termination shall not relieve either party of any payment obligations due up to the termination date.

8. Limitation of Liability

Marketing Genius Marketing shall not be liable for any indirect, consequential, incidental, or punitive damages arising from or related to our services or this agreement. Our total liability to you shall not exceed the total amount paid for the services under the service agreement.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Florida. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Florida.

10. Amendments

We may update these Terms from time to time, and any changes will be effective upon posting the revised Terms on our website or providing you with notice. Your continued use of our services after any such changes constitute your acceptance of the updated Terms.

11. Entire Agreement

These Terms, together with any service agreement or proposal, constitute the entire agreement between Marketing Genius Marketing and the client, superseding any prior or contemporaneous agreements, discussions, or understandings, whether oral or written.
